  1. Introduction and Acceptance

Welcome to pkalogisticsltd.com. By accessing our website and engaging our services—including but not limited to Customs Brokerage, Freight Forwarding, Haulage, and Vessel Chartering—you (the “Client”) agree to be bound by these Terms of Service. PKA Logistics Ltd (the “Company”) operates as a licensed corporate entity under the laws of the Federal Republic of Nigeria, registered with the Corporate Affairs Commission (CAC).

  1. Scope of Agency

PKA Logistics Ltd acts as an Agent for the Shipper, Consignee, or Owner of the goods. All business is transacted in accordance with the standard trading conditions of the Council for the Regulation of Freight Forwarding in Nigeria (CRFFN) and the Nigerian Port Authority (NPA) guidelines.

  • We reserve the right to select the route, means, and agencies for the transport, storage, and delivery of goods unless specific written instructions are provided by the Client.
  1. Client Responsibilities and Warranties

The Client warrants that:

  • Accuracy of Information: All descriptions, values, weights, and HS Codes provided for Form M, PAAR, or NXP processing are 100% accurate.
  • Legality of Goods: The goods are not on the Nigeria Customs Service Prohibition List and do not violate any international trade sanctions.
  • Packaging: Goods are adequately packed to withstand the rigors of international sea/air transit and local Nigerian haulage.
  1. Quotations and Landed Cost Estimates
  • All quotes provided by PKA Logistics Ltd are based on current Exchange Rates (NAFEM), Port Tariffs, and Shipping Line charges.
  • Price Volatility: Quotes are subject to change without notice if there are fluctuations in government levies (e.g., NESS fees, NAC levies) or fuel surcharges before the point of “Gate-in.”
  • Demurrage: Unless explicitly stated, quotes do not include storage or demurrage charges incurred due to documentation delays outside of the Company’s control.
  1. Payment Terms and Statutory Levies
  • Pre-payment of Duties: All statutory payments to the Nigeria Customs Service (NCS), NPA, and NIMASA must be paid in full by the Client before clearing or berthing commences.
  • Agency Fees: PKA Logistics Ltd professional fees are due upon issuance of the invoice.
  • Lien on Goods: The Company shall have a general lien on any goods and documents relating to goods in its possession for all sums due at any time from the Client.
  1. Limitation of Liability
  • Force Majeure: PKA Logistics Ltd shall not be liable for any loss, damage, or delay caused by “Acts of God,” strikes, lockouts, civil commotion, piracy in the Gulf of Guinea, or sudden changes in Federal Government import/export policies.
  • Value Limitation: Our liability for any loss or damage to goods is limited to the stipulated amount in our professional liability insurance, unless a higher value is declared and an additional “Ad Valorem” fee is paid.
  • Consequential Loss: The Company is not liable for indirect or consequential loss, including loss of profit or market delays.
  1. Insurance

While PKA Logistics Ltd maintains Goods-In-Transit (GIT) insurance for its haulage fleet, we strongly advise all Clients to procure Marine Cargo Insurance. We can facilitate “All-Risk” coverage through our partner Tier 1 insurers upon written request.

  1. Compliance and Anti-Bribery (FCPA/UK Bribery Act)

PKA Logistics Ltd operates with a zero-tolerance policy regarding unethical practices. We comply with the Nigerian Anti-Corruption Laws and align our operations with the US Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act. We will not facilitate any transaction that involves under-declaration or falsification of documents.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the Laws of the Federal Republic of Nigeria. Any disputes arising from these terms that cannot be settled through mediation shall be subject to the exclusive jurisdiction of the Federal High Court in Lagos.

  1. Modifications to Terms

PKA Logistics Ltd reserves the right to update these Terms at any time to reflect changes in the maritime regulatory environment. Continued use of our services constitutes acceptance of the updated terms.
